Nuvanta OS, by Rupeeflo, is a co-branded onboarding platform that compresses a 30–45 day physical NRI/OCI DEMAT account opening process into a fully paperless, compliant journey. This proposal covers the full commercial structure for the Axis Securities engagement.

05 — Key Commercial Terms
Payment Terms
One-time fees payable upfront at contract signing. AMC billed quarterly in advance. Per-onboarding and variable costs invoiced monthly on actuals with 15-day payment terms.
Contract Duration
Initial term: 36 months from go-live. Upon expiry, the contract shall be renewed by mutual agreement between both parties.
Scope of AMC
AMC covers platform uptime, AWS infra, minor configuration changes (up to 1,000 fields), and regulatory updates within standard scope. Custom development beyond this scope is billed at Implementation Engineer rates (Section 04B).
Modifications & Change Requests
Minor UI/configuration changes within the 1,000-field threshold are included in AMC. Structural changes, new module additions, or significant regulatory overhauls are billed at standard Implementation Engineer rates (Section 04B).
Notarization, DSC & Courier
Notarization charges, DSC issuance fees, and international courier charges are borne directly by the end customer. Nuvanta OS manages the logistics; these costs are not included in the platform fee structure.
Exclusions
Axis Securities bears costs for KRA member credentials, API access provisioning, and any third-party charges required on Axis's end for ETB/PIS API exposure.
